Terms and Conditions

1. Acceptance of Terms

These Terms govern your access to and use of the PolicyBox website, SaaSplatform, applications, and associated services. By accessing or using the platform,you agree to be bound by these Terms.

2. About PolicyBox

PolicyBox Pty Ltd provides regulatory guidance tools, compliance workflows, and AI-assisted policy interpretation. PolicyBox does not provide legal or financial advice.

3. Eligibility

You must be at least 18 years old and authorised to enter into contracts. If acting onbehalf of an organisation, you warrant authority to bind that organisation.

4. Account Registration

Users must provide accurate information, maintain confidentiality of login credentials, and notify PolicyBox of any unauthorised access.

5. Nature of the Service

PolicyBox provides information and workflow tools only. The platform does notguaranteeregulatory compliance and is not a substitute for professional advice.

6. AI-Generated Content Disclaimer

PolicyBox uses generative artificial intelligence.AI-generated outputs may: contain inaccuracies; omit relevant information; become outdated; produce different responses to similar questions.You acknowledge that all AI outputs must be independently reviewed before beingrelied upon.PolicyBox does not warrant that AI outputs satisfy legal, regulatory, accounting, employment, privacy, AML, WHS or other compliance obligations.

7. User Obligations

Users must not misuse the platform, provide false information, interfere with security,reverse engineer software, or upload malicious code.

8. Intellectual Property

All intellectual property rights in the PolicyBox platform, software, artificialintelligence models, workflows, prompts, templates, algorithms, documentation,interfaces, branding, graphics, reports, content and underlying technology remain theexclusive property of PolicyBox Pty Ltd or its licensors.Nothing in these Terms transfers ownership of any intellectual property to you.You are granted a limited, non-exclusive, non-transferable, revocable licence to usethe Platform for your internal business purposes in accordance with yoursubscription.

9. Restrictions on Use

You must not, and must not permit any other person to: reverse engineer, decompile or disassemble the Platform; copy or reproduce any substantial part of the Platform; create derivative works based on the Platform; use PolicyBox outputs, workflows, prompts or functionality to develop acompeting product or service; use information obtained through the Platform to replicate substantially similarfunctionality; remove copyright notices or proprietary markings; interfere with the security or operation of the Platform; permit unauthorised access.

10. Platform Learning & Improvement

PolicyBox continually improves its platform.You acknowledge that PolicyBox may collect and analyse anonymised andaggregated platform usage information for the purposes of: improving AI models; improving workflows; enhancing platform performance; developing new functionality; research and development; benchmarking and analytics.PolicyBox will not use confidential or personal information in any manner thatidentifies you or your organisation except where authorised by you or required bylaw.PolicyBox may make Beta Features available.Beta Features are provided for evaluation purposes only and may be modified,withdrawn or discontinued at any time.Beta Features are provided "as is" and may not perform to the same standard asreleased functionality.

11. User Content

Users retain ownership of uploaded content but grant PolicyBox a licence to hostand process such content. De-identified data may be used for analytics andimprovement.You warrant that you own, or have all necessary rights to use, every document,policy, procedure, contract or other material uploaded to PolicyBox.You further warrant that uploaded material: does not infringe intellectual property rights; complies with applicable privacy laws; is lawful; is accurate to the best of your knowledge.You retain ownership of your documents.PolicyBox receives only the limited licence necessary to host, process and displayyour content in order to provide the Services.

12. Customer Responsibilities

You remain responsible for: all regulatory decisions; reviewing AI-generated outputs; ensuring outputs are appropriate for your circumstances; ensuring uploaded content remains current; obtaining any necessary consents; complying with applicable legislation.PolicyBox assists decision-making but does not replace professional judgement.You acknowledge that all decisions made using PolicyBox remain your responsibility.PolicyBox provides information, workflow guidance and AI-assistedrecommendations only.The decision to act or refrain from acting on any output remains solely with the user.

13. Data Security

PolicyBox implements reasonable safeguards but does not guarantee absolutesecurity.

14. Fees and Payments

Subscription fees are payable in advance and are non-refundable unless required bylaw. Access may be suspended for non-payment.

15. Termination & amp; Suspension

PolicyBox may suspend or terminate access for breach, non-payment, or legalrequirements.PolicyBox may immediately suspend access where: fees remain unpaid; security has been compromised; the Platform is being misused; required by law; continued access creates unacceptable risk.

16. Limitation of Liability

To the maximum extent permitted by law, PolicyBox excludes liability for lossesarising from reliance on AI outputs, regulatory penalties, and indirect losses. Liabilityis limited to fees paid in the preceding 3 months.

17. Indemnity

Users indemnify PolicyBox against claims arising from misuse, breach of law, orinaccurate information provided.

18. No Warranties

The platform is provided 'as is' without warranties of continuous availability or error-free operation.PolicyBox will use commercially reasonable efforts to provide continuous service butcannot guarantee uninterrupted availability because of: maintenance; cloud outages; internet failures; third-party services; security incidents; upgrades.

19. Third-Party Services

PolicyBox is not responsible for third-party integrations or services.

20. Compliance Responsibility

Users remain responsible for their regulatory obligations and decisions.

21. Confidentiality

PolicyBox will treat confidential information securely subject to legal obligations.

22. Changes to Terms

PolicyBox may update these Terms from time to time. Continued use constitutesacceptance.

23. Governing Law

These Terms are governed by the laws of Queensland, Australia.
